Heart Metrics, LLC, a Nevada limited liability company, also doing business as CoreHarmonic (hereinafter referred to as "we," "us," or "our"), operates the website located at food.coreharmonic.com (the "Site") and all services, programs, and applications made available through it (collectively, the "Services").
By accessing or using the Services, you ("you," "your," or "User") agree to be bound by these Terms of Service ("Agreement"). If you do not agree to all provisions of this Agreement, do not access or use the Services. You must be at least 18 years old to use the Services.
1. Medical & Health Disclaimer
CoreHarmonic programs are educational wellness programs — not medical advice, diagnosis, or treatment.
Our Services are designed to support lifestyle changes through tracking, awareness, and behavioral science. Nothing in our programs, app, or communications constitutes medical advice, diagnosis, or treatment, nor is it intended to prevent, cure, or treat any disease or medical condition.
Before starting any CoreHarmonic program:
Dr. Alicia Powers holds a PhD in Public Policy and provides educational guidance grounded in behavioral science and wellness principles. She is not providing medical diagnosis or treatment. Where guest speakers or consultants hold professional licenses or designations, any information they share should be considered a general recommendation — not advice specific to your situation.
Mental Health & Eating Disorders: If you have a history of eating disorders, disordered eating, or complex clinical relationships with food, please consult your mental health provider or registered dietitian before enrolling. While CoreHarmonic uses compassionate, non-restrictive language, self-tracking may not be appropriate for everyone.
FDA Statement: These statements have not been evaluated by the Food and Drug Administration. Our programs are not intended to diagnose, treat, cure, or prevent any disease.
2. Professional Boundaries
The relationship between program participants and Heart Metrics, LLC / CoreHarmonic is that of educator and student, not clinician and patient. Emergency support is not available through any CoreHarmonic program or platform. If you are experiencing a medical or mental health emergency, contact 911 or your local emergency services immediately.
3. Privacy & Data
We respect the privacy of our users. Please refer to our Privacy Policy, linked in the footer of our website, for a full explanation of how we collect, use, and disclose information. By accessing or using the Services, you agree to our Privacy Policy.
UltraU App Data: The UltraU application collects health and wellness data that you voluntarily provide. This data is not clinical or biometric in nature. We do not sell your personal health data. For full details on data usage, storage, and security, please review our Privacy Policy and Terms of Service Amendments. By using the UltraU app, you consent to this data collection as described.
4. Accounts
Account Creation. Certain features of the Services require you to register for an account. You represent and warrant that all registration information you provide is truthful, accurate, and current, and that you will maintain its accuracy. You may delete your account at any time by following the instructions on the Site. We may suspend or terminate your account pursuant to Section 12 of this Agreement.
Account Responsibilities. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.
5. Payment Terms
General. Certain aspects of the Services are provided for a fee. We may add new services for additional fees or amend fees for existing services at any time, in our sole discretion. Any pricing changes will become effective in the billing cycle following notice to you.
Payment Authorization. By completing a purchase, you authorize us to charge your payment method on file for all applicable fees. All payment information you provide must be accurate, complete, and current.
Payment Plans. Where applicable, we may offer payment plans. A payment plan is not a month-to-month subscription that can be canceled at any time. By selecting a payment plan, you agree to complete all payments under that plan. Failure to pay does not cancel your financial obligation. We reserve the right to seek recovery of any unpaid amounts through a collection agency.
Chargebacks. If you initiate a chargeback with your bank or credit card company, this constitutes a breach of your payment obligations. We reserve the right to dispute any chargeback, terminate your access to the Services, and require full payment — including any fees incurred as a result of the chargeback — before restoring access.
Taxes. You are responsible for all applicable taxes associated with your use of the Services.
6. Refund & Return Policy
Due to the digital and educational nature of our products and services, we do not offer refunds or returns for any program, subscription, platform access, or service sold through our website or applications, for any reason.
If you selected a payment plan, you are obligated to complete all payments in that plan. We reserve the right to seek recovery of any unpaid balance through our collection agency.

This no-refund policy applies to Sugar Slowdown, UltraU, and UltraClarity, as well as any other CoreHarmonic product or service unless explicitly stated otherwise in writing at the time of purchase.
7. Results Disclaimer
Individual results will vary. Any statistics, testimonials, or outcome examples shared through our programs, website, or marketing represent participant experiences and do not guarantee your specific results. Your personal outcomes depend on many factors including your starting point, consistency, underlying health conditions, medications, sleep, stress, and other individual circumstances.
Success requires active participation, honest self-tracking, and willingness to engage with the material. CoreHarmonic provides structure and guidance — transformation requires your active engagement. We do not guarantee specific health outcomes, weight loss, or medical improvements.
8. Intellectual Property
All content, curriculum, materials, software, branding, and intellectual property made available through the Services — including but not limited to text, video, audio, graphics, app interfaces, and program frameworks — are owned by or licensed to Heart Metrics, LLC and are protected by U.S. and international copyright laws.
License to You. We grant you a limited, non-transferable, non-exclusive license to access and use the Services for your personal or professional use as permitted by the specific program you have enrolled in. This license does not transfer ownership of any intellectual property to you.
Restrictions. You may not: (a) reproduce, distribute, transmit, display, or create derivative works from any CoreHarmonic content without prior written consent; (b) share login credentials or program access with others; (c) use our content for commercial purposes beyond your own practice (except as expressly permitted in the UltraClarity Practitioner Addendum); or (d) reverse engineer, disassemble, or copy any part of the UltraU application.
9. User Content
Your Content. "User Content" means any information, feedback, or content you submit to the Services or our social media pages. You retain ownership of your User Content, but grant us a non-exclusive, royalty-free, worldwide license to use, display, and reproduce it for the purposes of operating and promoting the Services.
Acceptable Use. You agree not to submit content that is abusive, threatening, defamatory, unlawful, or infringes on third-party rights. We reserve the right to remove any User Content and terminate access for violations.
Feedback. Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation to you.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HEART METRICS, LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SERVICES, INCLUDING ANY WELLNESS OR HEALTH-RELATED DECISIONS MADE IN CONNECTION WITH OUR PROGRAMS.
12. Term & Termination
This Agreement remains in effect while you use the Services. We may suspend or terminate your access at any time, at our sole discretion, including for violation of this Agreement. Upon termination, your right to access the Services ends immediately. We will have no liability to you for any termination, including deletion of your account data.
13. Legal Disputes
Governing Law. This Agreement is governed by the laws of the State of Nevada, without regard to conflict of law principles.
Claim Limitations. Any cause of action arising out of or related to the Services must be brought within one (1) year of the event giving rise to the claim. Claims not brought within this period are permanently barred.
Agreement to Arbitrate. Any dispute or claim arising out of or relating to this Agreement or the Services will be resolved exclusively through binding arbitration administered by JAMS Arbitration under its applicable rules, conducted in Nevada. You waive any right to a jury trial or to participate in a class action. The Federal Arbitration Act governs the interpretation and enforcement of this clause.
Exception. You may assert claims in small claims court in Nevada if your claims qualify and the matter remains on an individual basis.
14. Indemnification
You agree to indemnify and hold harmless Heart Metrics, LLC and its officers, employees, and agents from any claims, damages, costs, and attorney's fees arising from (a) your use of the Services, (b) your User Content, (c) your violation of this Agreement, or (d) your violation of applicable law.
15. Third-Party Links
The Services may contain links to third-party websites. We have no control over these sites and are not responsible for their content, practices, or policies. Accessing third-party links is at your own risk.
16. Changes to This Agreement
We may update this Agreement from time to time. Material changes will be communicated via email or prominent notice on the Site at least 30 days before taking effect. Continued use of the Services following notice of changes constitutes acceptance of the updated Agreement.
17. Severability
If any provision of this Agreement is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction or arbitrator, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it will be severed from this Agreement. The remaining provisions of this Agreement will continue in full force and effect and will not be affected by the invalid or unenforceable provision.

We respect intellectual property rights. If you believe content on our Site infringes your copyright, please send a written notice pursuant to 17 U.S.C. § 512(c) to:

Addendum A — Sugar Slowdown Program
This Addendum supplements the CoreHarmonic Terms of Service and applies specifically to participants enrolled in the Sugar Slowdown program.
A.1 Program Description
Sugar Slowdown is an educational wellness program focused on behavioral science, sugar awareness, and lifestyle habit formation. The program is delivered through a monthly subscription that provides access to the CoreHarmonic app and its educational content. Coaching sessions are available as a separate add-on and are not included in the base subscription. Program materials, self-tracking tools, and educational resources are accessible through the app upon enrollment.
A.2 Subscription & Payment Terms
Subscription Model. Sugar Slowdown is offered as a monthly subscription, billed on your enrollment anniversary date each month at the rate listed on the website at the time of your enrollment. Subscription pricing is subject to change with 30 days notice per Section 16 of the Master Terms.
Minimum Commitment. All subscribers are required to complete a minimum of two (2) billing months before cancellation is permitted. By enrolling, you authorize us to charge your payment method for at least two consecutive monthly billing cycles.
Cancellation. After your 2-month minimum period has been fulfilled, you may cancel your subscription at any time by sending a written cancellation request to [email protected]. Cancellations must be received at least 5 business days before your next billing date to avoid being charged for the following month. You will retain access through the end of your current paid billing period. No prorated refunds will be issued.
Add-On Coaching Sessions. Coaching sessions are available as a separate purchase and are not included in the base subscription. Session pricing is listed on the website and at cal.com/coreharmonic at the time of booking. All session fees are non-refundable per Section 6 of the Master Terms.
One-Off Sessions. Individual 30-minute coaching sessions are available for purchase by anyone — including non-subscribers and past subscribers — at the rate listed on the website at the time of booking. One-off sessions are standalone purchases and do not constitute enrollment in the Sugar Slowdown subscription program.
No Refunds. All subscription fees and session fees are non-refundable per Section 6 of the Master Terms.
A.3 Session Scheduling & Cancellations
All coaching sessions — whether add-on or one-off — are booked through cal.com/coreharmonic. Missed or canceled sessions with less than 24 hours notice may be forfeited at our discretion, with no refund or rescheduling credit. We reserve the right to reschedule sessions due to unforeseen circumstances and will provide reasonable advance notice when we do so.

Sugar Slowdown does not guarantee specific health outcomes, weight loss, energy changes, or any other measurable result. See Section 7 of the Master Terms.
A.7 Informed Consent — Payment Page Acknowledgment
At the time of purchase — whether for a subscription enrollment or a one-off session — you will be required to check the following box before completing payment:

Addendum B — UltraU Platform
This Addendum supplements the CoreHarmonic Terms of Service and applies to users of the UltraU application and platform.
B.1 Platform Description
UltraU is a wellness coaching platform that enables users and coaches to track self-reported health and wellness data, access educational content, and engage in guided wellness programming. UltraU does not collect clinical, biometric, or HIPAA-regulated data.
B.2 Account Terms
Access to UltraU requires account creation. You are responsible for maintaining the security of your credentials. We may suspend or terminate accounts for violation of this Agreement or misuse of the platform.
B.3 Data Collection
UltraU collects only voluntarily provided wellness data (e.g., self-reported mood, energy, food tracking entries). This data is used to power your personal dashboard and support your coach's guidance. We do not sell this data. See our Privacy Policy for full details.
B.4 Coach & Practitioner Access
If you are accessing UltraU as part of a coached program, your assigned coach may view your self-reported data to support your progress. By enrolling, you consent to this data sharing within the platform.
B.5 Service Availability
We will make reasonable efforts to maintain platform availability but do not guarantee uninterrupted access. Scheduled maintenance, updates, or technical issues may result in temporary downtime.
B.6 No Medical Use
UltraU is not a medical device and is not intended for use in clinical diagnosis, treatment planning, or patient monitoring. See Section 1 of the Master Terms.
Addendum C — UltraClarity Practitioner Platform
This Addendum supplements the CoreHarmonic Terms of Service and applies to licensed and non-licensed professionals accessing UltraClarity, CoreHarmonic's practitioner-facing platform.
C.1 Platform Description
UltraClarity is a professional platform designed for health coaches, wellness practitioners, and licensed healthcare professionals to deliver CoreHarmonic programming to their own clients. Access is granted via a practitioner license, not a personal use subscription.
C.2 Practitioner Eligibility
UltraClarity is available to:
You represent and warrant that any credentials, certifications, or licenses you claim at enrollment are current, valid, and accurately described.
C.3 Scope of License
Your practitioner license grants you a non-exclusive, non-transferable right to use UltraClarity to deliver CoreHarmonic programming to your clients within the scope of your professional practice. You may not:

Heart Metrics, LLC is not responsible for how practitioners apply program content within their independent practices.
C.5 Payment & No-Refund Policy
Practitioner platform access fees are non-refundable per Section 6 of the Master Terms. Subscription or license terms will be confirmed at enrollment.
C.6 Termination of Practitioner Access
We reserve the right to terminate practitioner access at any time if we determine, in our sole discretion, that the platform is being used outside the permitted scope, in violation of this Agreement, or in a manner that could harm clients or CoreHarmonic's reputation.
C.7 Relationship of Parties
Practitioners accessing UltraClarity are not employees, agents, partners, or representatives of Heart Metrics, LLC or CoreHarmonic. Nothing in this Agreement creates any employment, agency, joint venture, or franchise relationship between you and Heart Metrics, LLC. You have no authority to bind, obligate, or represent CoreHarmonic in any capacity. You are solely responsible for your own taxes, withholdings, insurance, and compliance with applicable laws in connection with your professional practice.
C.8 Confidentiality
By accessing UltraClarity, you will have access to CoreHarmonic's proprietary curriculum, program frameworks, methodology, and business information (collectively, "Confidential Information"). During the term of your access and at all times thereafter, you agree to:

C.9 Non-Solicitation
During your access to UltraClarity and for a period of two (2) years following the termination or expiration of your access, you agree not to:
You acknowledge that any violation or threatened violation of this section would cause CoreHarmonic irreparable harm, and that CoreHarmonic shall be entitled to seek injunctive relief in addition to all other available remedies.
C.10 Authority
You represent and warrant that: (a) you have full legal capacity and authority to enter into this Agreement; (b) if you are enrolling on behalf of a practice, clinic, or organization, you are duly authorized to bind that entity to this Agreement; and (c) entering into this Agreement does not violate any other agreement or legal restriction to which you or your organization is subject.
